Maples Group Luxembourg Advises BaxEnergy on its Sale to Yokogawa Electric
Maples and Calder (Luxembourg) SARL, the Maples Group’s law firm in Luxembourg, is pleased to have advised BaxEnergy Holdings SARL, the Luxembourg based majority shareholder of the BaxEnergy’s Group, a leading provider of energy management solutions, on the sale of its majority stake to Yokogawa Electric Corporation. The transaction closed in June 2024.

BaxEnergy, headquartered in Italy, is a leading provider of renewable energy management solutions which creates software to improve renewable energy assets’ performance worldwide. Yokogawa Electric Corporation, headquartered in Tokyo, Japan, and established in 1915, is dedicated to developing advanced and high-quality control and management systems, field instruments, process analytics products and services in the world. Yokogawa is listed on the Prime Market of Tokyo stock exchange with a market capitalisation of approximately €3.89 billion.
A team based in the firm’s Luxembourg practice acted as lead counsel and Luxembourg Corporate counsel to BaxEnergy’s majority shareholder, assisting with legal matters regarding inter alia the commercial negotiations of the key transactional documents. The team was led by Luxembourg Corporate Partner, Marjorie Allo, with assistance from Corporate Associate, Timothée Gras. The Maples team worked with Heuking Germany and TMB Associati who managed the German and Italian legal aspects of the deal respectively.
