Maples Group Advises Willow Tree Credit Partners on US$730 Million Continuation Vehicle

Maples and Calder advised Willow Tree Credit Partners on the formation and closing of a private credit continuation vehicle structure holding assets with an aggregate transaction value of approximately US$730 million.

Maples and Calder, the Maples Group’s law firm, is pleased to have advised Willow Tree Credit Partners LP and its affiliates on the successful formation and closing of Willow Tree Fund II-CV, LP and its parallel vehicles. The private credit continuation vehicle structure holds assets representing an aggregate transaction value of approximately US$730 million.

Under the transaction, a portfolio of approximately 130 investments, primarily loans to sponsor-backed companies, transferred into a newly established continuation vehicle. It highlights the growing use of continuation vehicles as a solution for investors seeking liquidity while allowing managers to continue overseeing high-quality assets.

A team of lawyers from the firm’s Funds & Investment Management practice acted as Cayman Islands counsel to Willow Tree. The team was led by Partners Grant Dixon and Lee Davis, with assistance from Of Counsel Caroline Dell.
