Maples Advises Envision Greenwise on HK$1.1 Billion Top-Up Placement and Convertible Bond Offering

Maples and Calder, the Maples Group’s law firm, is pleased to announce that it advised Envision Greenwise Holdings Limited, a renewable energy and environmental services company listed on The Stock Exchange of Hong Kong Limited (Stock Code: 1783), on a top-up placement of shares and concurrent convertible bond issuance raising aggregate gross proceeds of approximately HK$1.1 billion.

The firm advised Envision Greenwise Holdings Limited, a Cayman Islands exempted company, on the placement and top-up subscription of 117,924,000 new shares at HK$4.66 per share (approximately HK$549.53 million in gross proceeds) and on the concurrent issue by Chun Yang International (HK) Company Limited (晉揚國際(香港)有限公司), a company incorporated under the laws of Hong Kong and a wholly owned subsidiary of Envision Greenwise Holdings Limited, of RMB472.00 million (approximately US$69.96 million) of USD-settled 5.00 per cent. guaranteed convertible bonds due 2027, which are convertible at the option of the holder thereof into ordinary shares of HK$0.005 par value each in the capital of Envision Greenwise Holdings Limited. Envision Greenwise Holdings Limited also acts as guarantor of the convertible bonds.

The convertible bonds are listed on the Vienna MTF operated by the Vienna Stock Exchange, with the underlying conversion shares listed on the Hong Kong Stock Exchange. Funds raised will be deployed to finance the acquisition of a cloud computing and data centre services provider in the PRC and the purchase of high-performance AI servers, with the balance allocated to working capital and general corporate purposes in support of the Group’s ongoing operations and growth.

Bank of China (Hong Kong) Limited acted as Trustee, Principal Agent and Registrar for the convertible bonds.
