Maples Group Advises Serra Verde Group on US$2.8 Billion Rare Earths M&A in Latin America

Maples and Calder, the Maples Group’s law firm, is pleased to have advised Serra Verde Group on its US$2.8 billion business combination with USA Rare Earth, Inc.
Serra Verde Group will combine with USA Rare Earth, Inc, a US company, to form a global leader spanning rare earth elements (REE), oxides, metals and magnets. The business combination will be the largest, rare earths M&A transaction in Latin America. The deal is expected to close in the third quarter of 2026, pending regulatory approval.
Chris Newton, head of the global BVI practice, and associate Chloe Parsons provided BVI counsel to Serra Verde Group working closely with White & Case, who acted as US counsel.

The Maples Group has acted for Serra Verde Group for several years, including the most recently concluded US$565 million financing in March 2026 with the United States International Development Finance Corporation.
