Position: Assistant Vice President – Company Secretarial Services 
Location: Luxembourg

About the Role

The Assistant Vice President supports the Corporate Secretarial Services department. Its tactical responsibilities feed one larger objective: be responsible for the corporate documentation of various company structures where the Maples Group provides corporate secretarial services. Primary responsibilities include: 

  • will be responsible for the preparation and review of client companies’ documentation to ensure good corporate and legal standing;
  • will have contact with clients, their boards of directors and will liaise with lawyers and service providers, investment managers and fund administrators;
  • will coordinate  and  minute  board, shareholder and committee meetings;
  • ensure the efficient preparation and distribution of board papers;
  • draft minutes, resolutions and generally any kind of document pertaining to the life-cycle of a Luxembourg company;
  • will coordinate statutory and regulatory filings, maintain statutory books and records and act as the main channel of communication for directors on matters of Luxembourg company law and corporate governance.

EXPERIENCE

What You Bring

In addition to indisputably high ethical standards and autonomy, the ideal candidate possesses the following:

  • will be required to work on their own initiative, have excellent organisation and planning skills, be methodical, with strong attention to detail, have exceptional written and oral communication skills and have the ability to deliver on tight timescales;
  • will preferably have BAC+3 in a related field and a minimum of 3 years’ work experience in a similar role for the provision of company secretarial services;
  • excellent communication skills are essential;
  • fluency in English language is a prerequisite, with additional languages being viewed as beneficial;
  • a legal qualification is desirable but not essential for this position. The Maples Group will facilitate appropriate training, courses and further qualifications during the course of employment.
