Central Register of Beneficial Ownership of Corporates: An Update - Ireland

15 Oct 2019

On 29 July 2019 the Central Register of Beneficial Ownership of Companies and Industrial & Provident Societies ("Central Register") opened for filings.

As reported in our April 2019 update, existing entities that are subject to the European Union (Anti-Money Laundering: Beneficial Ownership of Corporate Entities) Regulations 2019 are required to submit their beneficial ownership information to the Central Register maintained by the Registrar of Companies by 22 November 2019. Relevant entities incorporated after 22 June 2019 have five months from the date of their incorporation to deliver the same information to the Central Register.

All filings must be made online through the Central Register and there is no filing fee. Beneficial Owners who do not have a Personal Public Services Number (“PPSN”) must complete a Form BEN2 (Declaration as to Verification of Identity). The Form BEN2 includes a statutory declaration which requires authorisation and we can provide assistance with this application. The Form BEN2 cannot be used if an individual already has been issued with a PPSN. For further details on the information to be delivered to the Central Register, persons entitled to access it and other obligations and duties, see here.
